Disclosure Policy

1.Information Disclosure Standards

The Group discloses information based on transparency, fairness and continuity, in accordance with the Financial Instruments and Exchange Act and other laws and regulations, as well as the Timely Disclosure of Corporate Information (hereinafter referred to as the “Timely Disclosure Regulations”) stipulated in the Tokyo Stock Exchange’s securities listing regulations. In addition, we proactively and fairly disclose information that we believe is important or useful to shareholders and investors to understand our company, even if it does not fall within the scope of various laws and regulations and the Timely Disclosure Rules. We will not disclose personal information, customer information, or information that could infringe the rights of related parties.

2.Methods of Information Disclosure

Information stipulated by the Timely Disclosure Rules are disclosed through the Timely Disclosure Information Network System (TDnet) provided by the Tokyo Stock Exchange in accordance with such rules, and will be promptly posted on our website through the TDnet system. Information that does not fall under the Timely Disclosure Rules, but we judge to be important and useful are disclosed by posting on our website, etc.

3.Prevention of Insider Trading

To prevent insider trading, we have established information management and insider trading prevention rules. Every year we hold study meetings for executives and employees on the Insider Trading Prevention Rules, distribute explanatory documents, and strive to ensure that all executives and employees are thoroughly familiar and aware with the rules. We also use in-house notifications as necessary.

4.Management’s Discussion and Analysis of Business Forecasts and Future Information

Forecasts of future performance, strategies, targets, etc. disclosed by the Company are forward-looking statements other than historical or current facts. These statements are based on information currently available to the Company and certain plans, expectations, and judgments that are based on assumptions deemed to be reasonable. Accordingly, actual results may differ from the forecasts disclosed due to a variety of uncertain factors, including economic conditions.

5.Quiet period

In order to prevent the leakage of financial results (including quarterly financial results) and to ensure the fairness of information disclosed, we set a quiet period from the quarter-end date to the announcement date of the financial results. During this period, we refrain from responding to questions or commenting on our financial results and outlook. However, in the event that a substantial change in the forecast of financial results is anticipated during this period, the Company will disclose the forecast in accordance with the Timely Disclosure Regulations.

6.Development of Organization Structure

In accordance with this Disclosure Policy, we are working to improve and enhance our organization structure to ensure appropriate disclosure of information, in accordance with various laws and regulations, and timely disclosure rules.
